President/CEO MVP Health Care

Mr. Oliker is President and Chief Executive Officer of MVP Health Care, an employer health benefits company headquartered
in Schenectady, N.Y. Mr. Oliker has led MVP since the company's inception in 1982.
Under Mr. Oliker's leadership, MVP is rapidly emerging as a strong regional health insurer in the Northeast. With the recent completion of
MVP's merger with Preferred Care, the company now serves about 750,000 medical members in New York, Vermont and New Hampshire. MVP's
exceptional growth stems from Mr. Oliker’s philosophy that high-quality, affordable health care results from innovation and unswerving
commitment to customer service.
MVP Health Care offers a wide range of health benefit products including a preferred provider organization (PPO), an exclusive provider
organization (EPO), indemnity health insurance products, the MVP HMO (MVP Health Plan, Inc.) and administrative services for employers who
choose to self-insure. MVP will enter the Medicare market in 2007.
The MVP HMO has earned "excellent" accreditation – the highest level of accreditation – from the National Committee for Quality
Assurance (NCQA), a not-for-profit organization that evaluates managed care organizations throughout the U.S. It has also been rated
among American's Best health Plans by U.S. News and World Report magazine and the NCQA.
Mr. Oliker, a nationally recognized leader in managed care, serves on the Board of Directors of the America's Health Insurance
Plans (AHIP) and is a member of the AHIP Policy Advisory Council. In addition, he has served as Chairman of the New York State
Health Plan Association and is currently a member of its Executive Committee.
A strong community leader as well, Mr. Oliker serves on the Albany College of Pharmacy Advisory Board, the Advisory Council of
the Graduate College of Union University and the Excelsior College President's Advisory Council.
Mr. Oliker holds a bachelor's degree from East Carolina University, a master's degree from The American University, Washington, D.C.;
and a post-master's graduate certificate in health care administration from George Washington University, Washington, D.C.

Nelson M. Braslow, M.D.
Executive Vice President/Chief Medical Officer

Dr. Braslow is MVP’s executive vice president of medical affairs and chief medical officer. He is responsible for
MVP’s medical affairs division, including oversight of all clinical staff, medical policies, and protocols. He also provides
leadership in all areas of clinical service, directs plan-wide quality, facilitates clinical performance improvement, and directs patient
safety initiatives, including disease and case management, quality improvement, and clinical pharmacy management.
For the past 14 years, Dr. Braslow has worked in managed care. His numerous roles include chief medical officer, vice president of
medical affairs, vice president of medical informatics, and medical director. His background includes significant work in technology
assessment, utilization management, pharmacy, medical analytics, quality improvement, disease and case management, and medical informatics
in addition to his duties as medical director. He has experience with all health plan products, including Medicare, commercial, and Medicaid.
He is a graduate of Harvard Medical School. He earned a master’s degree in public health from the University of Connecticut; an MBA from
Wilkes University; and is board-certified in internal medicine and pulmonary disease.

Lisa A. Brubaker
Executive Vice President/Rochester Operations and Government Programs

Ms. Brubaker serves as executive vice president of Rochester operations and government programs for Preferred Care and MVP Health Care. She is
also the president of Preferred Health Network, a wholly owned subsidiary of MVP Health Care.
Ms. Brubaker has more than 22 years of leadership experience in the Rochester health care market. Prior to joining Preferred Care in 1999,
Ms. Brubaker served as executive director of the Monroe County Medical Society and the Genesee Valley Medical Foundation.
Ms. Brubaker earned her master’s degree in health service administration from the University of Michigan’s School of Public Health and holds a
bachelor’s degree in journalism from Iowa State University’s College of Arts and Sciences.
Her community activities include the Board of Directors and Finance Committees of the United Way, Greater Rochester Enterprise, Planned Parenthood
and the George Eastman House International Museum of Photography and Film. In 2005, she received the Rochester Business Journal’s
“Women of Influence Award.”

Thomas J. Combs
Executive Vice President/Chief Financial Officer

Mr. Combs joined MVP Health Care in January 2006. In addition to management of all financial activities, he is responsible for financial reporting,
financial planning and analysis, treasury and risk management.
Prior to joining MVP, Mr. Combs was chief financial officer for Preferred Care. He previously was employed by Ecolab, Inc., a specialty chemical and
service company, both as a division general manager and as CFO of Canadian subsidiaries. He also served in financial management and strategic planning
roles with an international focus for PepsiCo, Inc.
Mr. Combs earned his MBA degree from the Wharton School at the University of Pennsylvania and holds a bachelor’s degree from
Union College, Schenectady, New York.

Chris Henchey
Executive Vice President/Chief Operating Officer

Christopher Henchey serves as executive vice president and chief operations officer for MVP Health Care. Formerly, he was vice president for
MVP Health Care in New Hampshire.
Prior to joining MVP Health Care, he was co-founder and chief operations officer of Choicelinx Corp., an innovative technology company that supports the
health care industry. He also served on the company’s board of directors from its founding in 1999 until its acquisition by CIGNA Health Care in 2005.
Previous to his development of Choicelinx, Mr. Henchey served as the COO for the New England Region of Healthsource, Inc. – a CIGNA Health Care company.
He also was the COO for Healthsource New Hampshire prior to its acquisition by CIGNA Health Care. During his tenure at Healthsource, Mr. Henchey directed
a large regional operations center, several acquisition-related integration activities, and a full transaction systems conversion. In addition, he
managed two Healthsource subsidiary companies servicing the Company’s Workers’ Compensation and Third-Party Administration products.
Mr. Henchey earned an MBA from Southern New Hampshire University.

Mark Fish
Executive Vice President/Network Management

Mr. Fish is responsible for establishing the strategic direction for the development and maintenance of the company’s provider networks,
facility contracts and IPA relationships. He also provides leadership at the corporate level in the development of provider policies and ensures
that provider relationships and network management issues are considered. Mr. Fish previously served as chief actuary and has been a member of the
senior management team since joining MVP in 1999.
Prior to joining MVP, Mr. Fish served as a consulting actuary at the Milwaukee office of Milliman & Robertson. He began his career in the
healthcare field at Aetna, Inc., in Hartford, Conn.
Mr. Fish holds a bachelor’s degree in actuarial science and a bachelor’s degree in mathematics from the University of Wisconsin.
He is a Fellow of the Society of Actuaries, a member of the American Academy of Actuaries, and a graduate of the American Association of Health
Plans’ Executive Leadership Program.
Mr. Fish is a member of the Albany Medical Center Foundation Board and serves on the board of directors of the American Cancer Society of the
Capital Region.

Alfred Gatti
Executive Vice President/Planning

As corporate vice president of planning, Mr. Gatti has brought more than 20 years of experience in health care financial management to MVP.
Prior to joining the senior management staff of MVP, Mr. Gatti was executive vice president and CFO of RKS Health Ventures. He was also vice
president of finance for Physicians Health Services and was in charge of strategic planning for CIGNA Healthcare.
He earned his MBA from Michigan State University.

Denise Gonick, Esq.
Executive Vice President/Chief Legal Officer

Ms. Gonick has primary responsibility for all legal, regulatory, government affairs, and compliance matters affecting the company. She provides legal advice to
the company’s officers, directors and staff on all aspects of managed care and corporate law, including governance matters, transactions, regulatory compliance,
risk arrangements, contractual relationships, NCQA accreditation and government programs. She also manages all representation before state agencies and any litigation
involving MVP. In addition, Ms. Gonick oversees the company’s special investigations unit functions. She is also responsible for the implementation of
operational and procedural changes required by the Health Insurance Portability and Accountability Act (HIPAA) as well as MVP’s ongoing compliance with its
requirements.
Ms. Gonick joined MVP in 1996 and has received accolades for overseeing the adoption of “best practices” and strategic-planning efforts that have
positioned MVP for growth.
A graduate of Albany Law School of Union University, Ms. Gonick earned a bachelor’s degree from Hofstra University, Hempstead, New York. She is a member
of the American Health Lawyers Association and the New York State Bar Association. Ms. Gonick is actively involved in the America’s Health Insurance Plans
and is a member of both the American Health Lawyers Association and the Health Law section of the New York State Bar Association.

David Henderson
Executive Vice President/Chief Marketing Officer

Mr. Henderson is the enterprise-wide executive vice president and chief marketing officer for MVP Health Care and Preferred Care. He
has more than 17 years of contracting, business development, marketing, and sales expertise.
Prior to joining the staff of MVP and Preferred Care, Mr. Henderson was senior vice president and chief marketing officer for Capital District
Physicians’ Health Plan (CDPHP). He also has previous experience with GHI and HealthFirst, both in New York City; and with
CIGNA-Healthsource-CMCH in Worcester, Mass.
He has broad industry experience in all components of health care delivery systems including IPA, staff, and group model HMOs; physician
practices; and hospital systems.
Mr. Henderson earned an MBA degree from Western New England College in Springfield, Mass., and a BS degree from Westfield State College in Westfield, Mass.

James Morrill
Executive Vice President/Human Resources

Mr. Morrill is the enterprise-wide human resources leader and has been a member of the MVP executive leadership team since 1993. He is responsible
for all aspects of human resources, including staffing, compensation and employee relations.
Following the merger of MVP and Preferred Care in 2006, Mr. Morrill led the integration of the two workforces, one based primarily in Schenectady
and a second in Rochester, N.Y. He has helped to guide MVP through periods of dynamic growth that have transformed the company from a 200-employee
HMO into a 1,600-employee regional health benefits company serving subscribers and employers in three states.
Prior to joining MVP in 1993, Mr. Morrill was assistant vice president of human relations at Benedictine Hospital, Kingston, N.Y.
Mr. Morrill is a graduate of the Cornell University School of Industrial and Labor Relations. He is a Certified Managed Care Executive and a graduate
of the American Association of Health Plans’ Executive Leadership Program.
